Terms and Conditions
Version 2026-10-13 · effective 2026-10-13 for new customers, 2026-11-12 for existing customers
Welcome to MetaTrader API, a product of Apex Vanguard Dynamics LLC ("we," "us," or "our"). By accessing, ordering, or using our services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). Please read them carefully before using our API services.
1. Acceptance of Terms and Stripe Agreement
By creating an account or placing an order, you accept these Terms, our Data Processing Agreement (https://www.metatraderapi.net/en/dpa/) and the Stripe Services Agreement of our payment processor (https://stripe.com/legal/ssa). Changes to these Terms take effect as described in Section 12.
2. Services and Definitions
MetaTrader API provides REST and WebSocket API access to MetaTrader 4 (MT4) and MetaTrader 5 (MT5) trading account management features. Our services enable automated trading, signal distribution, account data access, and other functionalities as described on our website. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. The Service is designed to conform to the descriptions on our website, and we will provide updates as necessary to maintain functionality, subject to the limitations in Section 10.
In these Terms, "Service" means the MetaTrader API REST and WebSocket API, the dashboard, the documentation and all related services provided under the MetaTrader API brand (metatraderapi.net) by Apex Vanguard Dynamics LLC. A "seat" is the right to keep one MetaTrader 4 or MetaTrader 5 account connected to the Service at a time. A "month" or "billing month" is the billing cycle shown at checkout and in your dashboard, which is 28 days for subscriptions started on or after 8 September 2026 and a calendar month for subscriptions started before that date.
3. Business Use Only and Eligibility
The Service is offered exclusively to businesses: companies, self-employed persons and other entrepreneurs who use it for purposes of their trade, business or profession. It is not offered to consumers. By creating an account you confirm that you act in a business or professional capacity and not as a consumer within the meaning of applicable consumer-protection law (for example EU Directive 2011/83/EU or the Austrian Consumer Protection Act). If you register on behalf of a company, you confirm that you are authorized to bind it to these Terms.
You must be at least 18 years old and legally capable of entering into binding contracts. You further represent that you are not located in a country or region subject to comprehensive U.S. or EU sanctions, and that you are not designated as a sanctioned person or terrorist organization by any relevant government authority.
4. Account Registration and Security
To use certain features, you may need to create an account. You agree to provide accurate information and keep your login credentials confidential. You are responsible for all activities under your account and must notify us immediately of any unauthorized use. You agree not to share API keys or access tokens with third parties without our prior written consent.
5. Subscription, Usage, and Payment Terms
Subscription Plans:
The Service is sold as a per-seat subscription, billed monthly and paid in advance by card through Stripe. Seat prices are as shown on our website and in your dashboard at the time of purchase. There are no free trials. All subscriptions are non-transferable and may not be shared.
Billing Months:
Payment for each billing month is due in full before that billing month begins, to ensure uninterrupted access to the Service. Your billing month starts on the date of your initial subscription. Each seat is charged for a full billing month: a seat added during a billing month is charged its full price at once, and a seat removed during a billing month remains available, without credit or refund, until that billing month ends.
Account Usage Limits:
Usage is billed per seat. Use of the Service is also subject to our Fair Usage Policy (https://www.metatraderapi.net/en/fair-usage/).
- One seat allows one (1) MetaTrader 4 or MetaTrader 5 account to be connected at a time. Your subscription includes the number of seats you have paid for in the current billing month. You can hold up to 50 seats; more are available on request.
- Disconnecting an account frees its seat for the rest of the billing month; connecting another account uses a free seat at no additional charge. When all paid seats are in use, connecting another account adds a seat, which is charged in full for one billing month, upfront, at the time it is added, at the seat prices shown on our website. Added seats renew together with your subscription. You may release unused seats at any time from your dashboard; a released seat is removed immediately, stops renewing, and is not credited or refunded.
- Seats you add are charged automatically to the card on file. There are no other usage-based charges: requests and streams within the limits of our Fair Usage Policy are included in the seat price.
Payment Reminders and Suspension:
If a payment fails or is not received by the due date, all connected accounts on the subscription are suspended immediately, because a renewal covers every seat on the subscription together. You will receive an email when the charge fails and reminders while the payment remains outstanding, and no seats can be added until it is paid. The charge is retried automatically, and access resumes automatically once full payment is received. If payment is still not received after the payment retries have been exhausted, the subscription ends and your seats and connected accounts are removed. A seat that could not be paid for is not created.
While a seat is suspended, its connection to your broker is closed. We do not close or modify any open position or pending order; positions, pending orders, and stop-loss/take-profit levels remain with your broker.
Removed Seats and Credentials:
When a seat is removed (released, deleted, cancelled, or removed for non-payment), its connection is stopped at once. A removed seat can be restored for 7 days; restoring it is charged like a new seat. After 7 days, the seat's broker credentials, API keys, and associated seat data are permanently deleted. Billing and audit records are retained as required by law.
Invoices:
Invoices and receipts for your subscription are available in the billing portal linked from your dashboard.
Payment Method Maintenance:
To prevent service interruptions, you are responsible for maintaining current and valid payment information with our payment processor, Stripe. We recommend promptly updating your credit card details as needed.
Refunds and Cancellations:
Subscriptions are non-refundable except as required by law. You may cancel at any time, but no prorated refunds will be issued for partial periods. Cancellations take effect at the end of the current billing month.
Cancellation is made in the billing portal linked from your dashboard and becomes effective at the end of the current billing month; your seats remain available until then. Where payment for the following billing month has already been made, cancellation takes effect at the end of that billing month.
Price Changes:
We may change subscription fees for future billing months. We announce a price change by email or in the dashboard at least 30 days before it applies to you; it takes effect from your next billing month after that date. You may cancel before then.
Taxes:
All prices displayed on our website are exclusive of Value Added Tax (VAT). Applicable VAT or other sales tax is calculated and charged through Stripe based on the billing address and tax status (for example a VAT ID) you enter at Stripe checkout.
6. Non-Disclosure Agreement (NDA)
NDAs are available upon request and must be mutually agreed upon in writing. Standard NDA terms apply unless otherwise negotiated.
7. Use Restrictions
You agree not to:
- Use the services for any unlawful or fraudulent purposes.
- Interfere with or disrupt the services or servers.
- Attempt to gain unauthorized access to other accounts or systems.
- Use the API in any way that may harm others or the service.
- Use the Service to facilitate high-frequency trading that violates your broker's terms or applicable regulations.
- Exceed rate limits as specified in our API documentation or use the Service to scrape or resell data without our written permission.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, architecture, protocols, or internal logic of the Service, its dashboard, its documentation portal, or its connection infrastructure, except to the extent applicable law expressly prohibits this restriction.
- Use the Service, its documentation, its API responses, or any output of the Service to build, train, benchmark, or improve a product or service that competes with MetaTrader API, including by supplying them to an automated system, AI model, or software agent for that purpose.
- Copy, mirror, or systematically download our documentation, website content, broker directory, or pricing pages, whether manually or with automated tools, or remove or alter any copyright, trademark, or proprietary notice. This does not restrict (a) search engines and AI answer engines indexing our sites as permitted by our robots.txt, or (b) you and the software tools and AI agents acting for you reading and using our developer documentation for coding agents (/llms.txt, /llms-full.txt, /docs/ and /openapi.json) to build, run and support integrations with the Service, as stated in the notice at the top of those files.
- Access the Service through unauthorized means, share API keys or account credentials with third parties, or resell, sublicense, or provide access to the Service other than as permitted by your subscription.
8. Intellectual Property
The Service, including its software, source code, gateway and connection infrastructure, dashboard, API design and documentation, broker directory and other data compilations, website content, graphics, and the look and feel of all of the above (together, the "Materials"), is the exclusive property of Apex Vanguard Dynamics LLC and is protected by copyright, database, trade secret, and other intellectual property laws of the United States and other countries. All rights not expressly granted in these Terms are reserved.
Your subscription grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service for your own trading operations and for applications you provide to your own end users, in accordance with these Terms. It does not transfer any ownership interest, and it does not permit you to copy, modify, distribute, publicly display, create derivative works of, or commercially exploit the Materials, or to use them to develop or train a competing product or service.
MetaTrader API and our other brand names and logos are trademarks of Apex Vanguard Dynamics LLC. MetaTrader, MT4 and MT5 are trademarks of MetaQuotes Ltd; we are an independent service and are not affiliated with, authorized by, or endorsed by MetaQuotes. No trademark may be used without the owner's prior written consent.
You grant us a limited, non-exclusive license to use any data or content you submit through the Service for the purpose of providing and improving the Service. You retain all rights in your own trading data and strategies.
If you believe material on our sites infringes your copyright, or if you become aware of an unauthorized copy of the Materials, notify us at support@metatraderapi.net with the location of the material and a description of the claimed infringement. We respond to valid notices under the U.S. Digital Millennium Copyright Act and equivalent laws.
9. Data Privacy
We process personal data as described in our Privacy Policy (https://www.metatraderapi.net/en/privacy/), on the legal bases stated there. Where we process personal data on your behalf (for example the trading data of the MetaTrader accounts you connect), our Data Processing Agreement (https://www.metatraderapi.net/en/dpa/) applies and forms part of these Terms.
10. Limitation of Liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee uninterrupted or error-free operation.
No financial advice; trading risk:
MetaTrader API is technical infrastructure. It does not give investment, financial, tax or trading advice, does not recommend any trade, broker or strategy, and does not hold or manage your funds. Trading foreign exchange, CFDs and other leveraged products carries a high risk of losing money. You alone decide what your software trades and you bear all resulting gains and losses.
Your software, EAs and bots:
You are solely responsible for the behavior of any code, Expert Advisor, bot, signal or strategy that you run, connect or upload, including orders it sends, positions it opens or fails to close, and its compliance with your broker's terms and applicable law. We are not liable for trading losses, missed or duplicated orders, slippage, requotes, latency, connectivity or data delays, or for actions, outages, price feeds, account restrictions or insolvency of your broker or of MetaQuotes.
Exclusion of indirect damages:
Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost trading opportunities, loss of goodwill or loss of data, however caused, even if advised of the possibility.
Liability cap:
Our total aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort or otherwise, is limited to the fees you actually paid us for the Service in the twelve (12) months before the event giving rise to the claim.
Service levels and sole remedy:
We operate the Service with care and publish its live status and incident history at https://status.metatraderapi.net/. Unless we have signed a separate written service-level agreement with you, we make no availability commitment. Where such an agreement exists, the service credits it provides are your sole and exclusive remedy for any unavailability or degraded performance of the Service.
Exceptions:
Nothing in these Terms limits liability that cannot be limited under the applicable law, including liability for intent or wilful misconduct, gross negligence, fraud, or death or personal injury.
11. Termination
We may suspend or terminate your access at any time for violation of these Terms or other policies. You may cancel your subscription at any time, subject to the terms outlined on our website. Upon termination, you must cease all use of the Service. We may retain your data as required by law or for backup purposes.
12. Changes to Terms, Versions and Acceptance
These Terms are versioned; the version and date are shown at the top of this page. When you create an account you accept the version in force at that time, and we record which version you accepted and when. We may change these Terms for future billing months. We will tell you about material changes by email or in the dashboard at least 30 days before they take effect; if you do not agree, you may cancel before then. Continued use of the Service after the effective date means you accept the new version.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Wyoming. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Wyoming. In the event of a dispute, the parties agree to attempt resolution through good-faith negotiation before pursuing legal action.
14. Indemnification
You agree to indemnify, defend, and hold harmless Apex Vanguard Dynamics LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any data or content you submit through the Service.
15. Force Majeure
Neither party shall be liable for any delay or failure to perform obligations under these Terms (except for payment obligations) if such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, pandemics, or governmental actions.
16. Miscellaneous
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
- Assignment: You may not assign these Terms without our prior written consent. We may assign them freely.
- Notices: All notices under these Terms shall be in writing and sent to the contact information provided (e.g., via email).
- Entire Agreement: These Terms, together with any order confirmations, NDAs, or other incorporated documents, constitute the entire agreement between you and us, superseding any prior agreements.
- Electronic Communications: You consent to receiving communications from us electronically, and agree that electronic signatures shall have the same legal effect as manual signatures.
